Starting a business in Idaho
The entity decision shapes your taxes and paperwork for as long as the business exists.
Choosing the entity
LLC, S-corporation, C-corporation and partnership are taxed differently, carry different filing obligations, and offer different liability protection. The right answer depends on how you plan to take money out, whether you will have partners or employees, and what you expect the business to earn. It can be changed later, but rarely without cost.
Registration and setup
Idaho Secretary of State registration, the federal EIN, state tax accounts, and payroll registrations if you will have employees. Then the accounting setup, so the books start correctly rather than getting reconstructed in year two.
What people get wrong
Electing S-corporation status before the income supports it, so the payroll cost exceeds the tax saving. Not separating business and personal accounts. Missing the Idaho registrations and finding out through a notice. Choosing an entity because it is what a friend has.
Before you file anything
A short conversation before registration is considerably cheaper than restructuring afterwards. Bring the plan for the business, including how many owners there will be and what you expect the first two years to look like.
Talk it through
Call (208) 738-9890 or send a note describing the situation. A first conversation doesn't cost anything.

Common questions
Should I form an LLC or an S-corporation?
An LLC is a legal structure and an S-corporation is a tax election, so the question is often not either-or. An LLC can elect to be taxed as an S-corporation, which is frequently the right answer once profit reaches a level that justifies running payroll.
When does an S-corporation election make sense?
When net profit is consistently high enough that the self-employment tax saving exceeds the cost of running payroll and filing a separate return. That threshold is worth calculating rather than guessing.
