Business valuations in Twin Falls

A defensible number, with the reasoning written out.

When a valuation is needed

Selling or buying a business. Funding or triggering a buy-sell agreement. A partner buyout. Estate and gift tax filings where a closely held interest has to be reported. Divorce, where a business is frequently the largest asset and the most disputed one.

How it is approached

Valuation looks at the asset base, at earnings and what a buyer would pay for them, and at comparable transactions where meaningful data exists. Which approach carries the most weight depends on the business. A capital-intensive operation and a professional practice are valued differently for good reasons.

What you receive

A written report setting out the analysis, the assumptions and the conclusion, in a form that can be given to the other side, to a court, or to the IRS. The reasoning is written out because a number without reasoning does not survive a challenge.

Local context

Farms, dairies and construction businesses in this valley have characteristics that a generic valuation model handles poorly: land and water rights, equipment with real secondary markets, seasonal working capital, and in family operations a founder whose involvement is difficult to replace.

Questions

Common questions

How long does a valuation take?

It depends on the records. A business with clean financial statements and organized asset records moves quickly. One that needs its books reconstructed first takes longer.

Will it hold up in court?

That is what it is prepared for. Where testimony is needed, I can appear and defend the analysis.
